Terms of Service

These Terms of Service govern the B2B manufacturing relationship between BioGem Lab ("Supplier," "we," or "us") and our wholesale partners ("Partner," "you," or "your"). By initiating a partnership inquiry or placing a manufacturing order, you agree to these terms.

1. Service Description

BioGem Lab provides white-label and OEM memorial diamond manufacturing services. We transform biological carbon sources (hair, fur, nails, botanical material) into laboratory-grown diamonds using HPHT synthesis technology. All production is conducted at our laboratory facility in Luoyang, Henan, China.

Our services include:

• Carbon purification and graphitization from biological sources
• HPHT diamond synthesis and growth
• Gemological cutting and polishing
• Third-party certification (IGI or equivalent) — optional, at partner's request
• White-label packaging and documentation under partner's brand
• Global shipping to partner or partner's designated recipient

2. B2B Only — No Direct Consumer Sales

BioGem Lab operates exclusively as a B2B manufacturer. We do not sell directly to end consumers. All orders must be placed by authorized business partners, retailers, veterinary clinics, pet cremation services, or memorial companies. Partners are responsible for their own consumer-facing pricing, marketing, and customer service.

3. Minimum Orders and Pricing

We accept orders for single-unit samples and bulk production. Wholesale pricing is provided upon partnership inquiry and is subject to order volume, diamond specifications, and customization requirements. All pricing is quoted in USD unless otherwise agreed.

• Sample orders: Single-unit pricing for evaluation purposes
• Wholesale orders: Volume-based pricing for ongoing supply
• OEM/ODM: Custom branding and packaging available

4. Production Timeline

Our standard production cycle is approximately 60 days from carbon receipt to finished gem. Timeline includes:

• Carbon purification and graphitization: ~10 days
• HPHT synthesis: ~10-20 days
• Cutting and polishing: ~5-10 days
• Certification (if requested): ~10-15 days
• Shipping: ~5-10 days depending on destination

Timelines are estimates and may vary based on order specifications, laboratory capacity, and shipping logistics. We will communicate any delays to partners promptly.

5. Quality and Certification

All memorial diamonds are genuine laboratory-grown diamonds with the same physical, chemical, and optical properties as natural diamonds. Optional third-party certification (IGI) is available at partner's request and additional cost. We guarantee the carbon source used in production is derived from the biological material provided by the partner or their customer.

6. Shipping and Customs

BioGem Lab ships globally via FedEx, DHL, or UPS. Shipping costs and any applicable customs duties, taxes, or import fees are the responsibility of the partner. We provide all necessary documentation for customs clearance. Diamond products are non-dangerous goods and do not require special handling permits in most jurisdictions.

7. Payment Terms

For new partners, full payment is required before production begins. For established partners with approved credit terms, payment may be due within 30 days of invoice. We accept bank wire transfer (T/T) and major credit cards. All payment processing fees are the responsibility of the partner.

8. Intellectual Property

BioGem Lab holds patent-backed carbon extraction technology (Patent No. ZL 2010 1 0565778.9). Partners may not reverse-engineer, replicate, or disclose our proprietary manufacturing processes. All white-label packaging and branding materials produced for partners remain the property of the respective partner. We do not claim ownership of partner brand assets.

9. Limitation of Liability

BioGem Lab's liability is limited to the value of the manufacturing order. We are not liable for indirect, consequential, or incidental damages. We are not responsible for customs delays, shipping carrier issues, or regulatory changes in the partner's jurisdiction. Partners must ensure compliance with local laws regarding the import and sale of laboratory-grown diamonds.

10. Governing Law

These Terms of Service are governed by the laws of the People's Republic of China. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in Luoyang, Henan, China.

11. Modifications

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated effective date. Partners will be notified of material changes via email. Continued use of our services constitutes acceptance of revised terms.
